1. Acceptance of Terms

By downloading, installing, or using Fake Voice ("the App"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, refrain from using the App.

2. License and Access

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal or commercial purposes, subject to these Terms. All rights not expressly granted are reserved by Fake Voice.

4.1 Speechify AI Voice API

Voice cloning is powered by the Speechify API. Your audio is sent directly to Speechify’s servers and processed under Speechify’s Terms of Service. We do not store, access, or retain any user audio samples or cloned voices. For full details, see Speechify AI Voice API Terms.

4.2 Analytics Providers

We leverage third-party analytics (e.g., Google Analytics, Firebase) to monitor performance and usage. These services are governed by their own privacy and terms.

5. Intellectual Property

All content, trademarks, logos, and software of Fake Voice are the property of Fake Voice or its licensors and protected by copyright, trademark, and other laws. You may not use such content without prior written permission.

6. Limitation of Liability

To the maximum extent permitted by law, Fake Voice and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App, even if advised of the possibility of such damages.

7. Disclaimer of Warranties

The App is provided "as is" without warranties of any kind. We disclaim all warranties, whether express, implied, or statutory, including fitness for a particular purpose and non-infringement.

8. Termination

We reserve the right to suspend or terminate your access to the App at our discretion, without notice, for violation of these Terms or any unlawful activity.

Speechify AI Voice API Supplemental Terms & Conditions

These Terms & Conditions (these “Terms”) contain the terms and conditions on which we supply the Speechify Voice API (the “AI Voice Service”). The term “you” refers to the user of the AI Voice Service. Customer’s access to and use of the AI Voice AI Voice Service is subject to (i) the following terms and conditions below, and (ii) the Speechify Business Terms & Conditions (“Business Terms”) available at https://speechify.com/terms/.

For purposes of this Agreement, “Customer” includes any Customer Affiliate. For clarity, this Agreement and the Business Terms constitute the entire terms and conditions between Speechify and Customer solely with respect to the AI Voice Service, and supersedes any prior or contemporaneous agreements, since those agreements do not and are not intended to cover the AI Voice Service. In the event the terms of this Agreement conflict with the Business Terms, the terms of this Agreement control.

1. Use of AI Voice Service

1.1 Use of AI Voice Service. Subject to the terms of this Agreement, Speechify hereby grants Customer a non-exclusive, non-sublicensable right to access and use the AI Voice Service. To utilize the AI Voice Service, Customer may input or upload materials, including audio files of a consenting speaker’s voice (“Audio File”), text, and other data (“Voice Materials”) to the AI Voice Service, and receive synthetically generated voice output generated by the AI Voice Service in response to the input Voice Materials (“Synthetic Output”), provided that Customer may only upload Audio Files to the AI Voice Service from a consenting speaker that Customer has directly contracted with and received explicit written consent from in compliance with Section 1.2. For clarity with respect to defined terms in the Business Terms and subject to Section 3 below, the Voice Materials are “Input” and “Customer Content”, the Synthetic Output is “Output” and “Customer Content”, and the AI Voice Service, including all underlying Speechify models, are part of the “AI Voice Service” and Speechify’s intellectual property.

1.2 Voice Materials. Customer represents and warrants (a) that it has the necessary rights, licenses, permissions and releases to provide the Voice Materials to Speechify and enable Speechify to use and retain the Voice Materials to generate the Synthetic Output, and (b) that the use of Voice Materials will not infringe the intellectual property, privacy and/or other rights of any third party or violate any applicable law. For clarity, Customer’s indemnification obligation in the Business Terms applies to this Agreement.

1.3 Speaker Eligibility. Customer represents and warrants that the Audio Files will not include (a) the voice of any individual under the age of 18; (b) the voice of any deceased individual; or (c) the voice of any current or former reasonably well-known political figure.

1.4 Customer Obligations. Customer’s access to and use of the AI Voice Service is solely for Customer’s own use. Customer may integrate the AI Voice Service into its own Customer Application (as defined in the Business Terms) such that external End Users can use, prompt, or download the Synthetic Output generated from Audio Files provided by Customer, but, for the avoidance of doubt, Customer cannot enable such External End Users to upload their own Audio Files to the AI Voice Service. Customer remains solely responsible for all use of the AI Voice Service and the Synthetic Output by Customer’s End Users. Customer represents and warrants that each and every use of Synthetic Output, by Customer or any Customer End User, will include or embed commercially reasonable disclosures clearly indicating that the Synthetic Output is AI-generated and not a human voice, and that Customer will contractually require any Customer End User to represent and warrant to the same.

1.5 Additional limits when using AI Voice Service. Customer shall:

2. Infringement of Rights

2.1 Infringement of Rights. The Customer shall use its best endeavors to prevent any unauthorized access to, or use of, the AI Voice Service. Should the Customer become aware of wrongful use or planned wrongful use of the AI Voice Service, including but not limited to any software embedded or included therein by a third party, the Customer shall immediately notify Speechify in writing.

2.2 Infringement of rights – continued. Should the Customer become aware of third parties claiming that the AI Voice Service and/or any software embedded or included therein are unprotected or that their use infringes the rights of other parties or that they are otherwise subject to a challenge/questioning of Speechify’ rights in them, the Customer shall immediately notify Speechify in writing and coordinate further action in this regard with Speechify.

2.3 Handling of infringement claims. Speechify shall handle all proceedings in respect of the AI Voice Service and shall at its sole discretion decide what steps, if any, to take on account of infringement or alleged infringement of rights in the AI Voice Service or any other claims that exist with respect to the use of the AI Voice Service or which threaten the use of the AI Voice Service.

2.4 Rights of privacy, personality, and publicity of third-party individuals. Whenever the Customer Content contains the likeness of any third-party individuals (the “Individuals”), in particular the voice or imitated voice of such Individuals (the “Likeness”), such Likeness remains protected by the Individual’s property, personality, publicity and/or similar rights, which could be enforced in case of a misappropriation. Such Likeness, wherever provided by Speechify as part of the AI Voice Service, may only be used within the scope permitted by the License as outlined above. Customer acknowledges that it is its sole responsibility and obligation to obtain any necessary consent or prior approval from an Individual to create and exploit Service Output that incorporates the Likeness of such Individual, and under no circumstance shall Speechify be responsible for any Claim (as defined below) related to the incorporation without consent of the Likeness of an Induvial in a Service Output and/or Customer Content.

3. Alterations and Monitoring

3.1 Alterations. Speechify may add or remove features to the AI Voice Service and/or any software embedded or included therein, as well as update the AI Voice Service and/or any software embedded or included therein, to improve the AI Voice Service, comply with relevant laws and regulations, and/or counter high safety or security risks. Speechify may make changes to the AI Voice Service and/or any software embedded or included therein to:

3.2 Monitoring. Speechify may monitor the Customer’s use of the AI Voice Service for violation of this Agreement and may, at its sole discretion, take appropriate action should the Customer violate the law and/or this Agreement, including but not limited to:

Nothing in this Agreement will be construed to obligate Speechify to supply any corrections, updates, or releases in connection with the AI Voice Service.

3.3 Authorized Users. Where reasonably requested by Speechify, the Customer shall provide Speechify with a current list of those directors or employees of (i) the Customer, or (ii) the Customer’s individual contractors (not being, or being employed by, Competitors) or third party suppliers (not being Competitors) who are entitled to use the AI Voice Service and to whom the Customer grants access to the AI Voice Service (“Authorized Users”), which shall be held by Speechify and used to facilitate access to the AI Voice Service. “Competitor” means any entity engaged in the business of providing proprietary speech technology and related services. Where the Customer wishes to grant access to the AI Voice Service to its individual contractors, any third party or directors, employees, and individual contractors of any third party, the Speechify’ express prior written consent is required, and Speechify may: impose reasonable conditions on such consent including, without limitation, requiring the Customer to pay reasonable additional Fees and/or requiring the third-party supplier to enter into a direct agreement with Speechify; and withhold consent at its absolute discretion, including where any third party is a Competitor or an individual contractor is, or is employed by, a Competitor;

If an Authorized User leaves the employment or engagement of the Customer or where the employment or engagement of an Authorized User is transferred such that the Customer does not intend for them to have access to the AI Voice Service, the Customer shall disable such individual’s access to the AI Voice Service.

4. Termination of Access

4.1 Customer’s Termination of Access. Speechify may immediately terminate Customer’s access to the AI Voice Service in the event that (a) Customer is in violation of the AI Voice Service Supplemental Terms and Conditions in Speechify’s discretion, (b) Customer is in violation of the Business Terms, or (c) at any additional point at any time at Speechify’s sole discretion without any advance notice, written or otherwise.

5. Non-solicitation

5.1 While Customer has access to the AI Voice Service and for a maximum period of three (3) years after its termination, Customer shall neither contact Speechify’s employees, suppliers, or client nor help any third party do so, to incite the other party’s employees or suppliers to terminate their relationship with Speechify.

6. Trademarks and Attribution

6.1 Public announcements. Upon request from Speechify, parties agree to publish a joint blog post about their collaboration within 30 days of the Effective Date of this Agreement. Additionally, Parties agree to cooperate and consult with each other in good faith concerning the use of trademark, any public reports, statements, press releases, or other publicity.

6.2 Use of trademarks by Speechify. Customer grants Speechify a non-exclusive, royalty-free, worldwide license to use its name, brand and logo to promote its Services.

6.3 Use of trademarks by Customer. Speechify grants Customer a non-exclusive, royalty-free, worldwide license to use its name, brand and logo to promote the Speechify Services. Additionally, upon request from Speechify, Customer agrees to display the following phrase “Voices powered by Speechify” in a visible manner to at least one (1) Customer Product for the duration of the Agreement. Both Parties agree to consult and cooperate with each other in good faith on the placement of such phrase.

7. Disclaimer

7.1 Disclaimer of warranty for AI Voice Services. The Services are provided on an as-is and as-available basis. The Customer agrees that the Customer’s use of the Services will be at its sole risk unless expressly provided otherwise in this Agreement. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, Speechify, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND THE CUSTOMER’S USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Speechify MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES’ CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES, AND WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY:
